Overview
These Terms of Service ("Terms") govern your access to and use of lnccabinetry.com and the related sites listed in Section 2 (together, the "Sites"), and the products, services, information, tools, accounts, quotes, ordering features, and other resources made available through them.
Please read these Terms carefully before using the Sites or purchasing products or services from an L&C Cabinetry location.
These Terms include provisions that limit our liability, disclaim certain warranties, and specify where disputes must be brought. Please review Sections 21, 31, 32, and 35 in particular.
By accessing or using the Sites, creating an account, requesting a quote, submitting an inquiry, placing an order, or purchasing products or services from a participating L&C Cabinetry entity, you agree to these Terms.
If you do not agree to these Terms, you should not use the Sites.
L&C Cabinetry Entities
The Sites serve as a parent website and online stores for multiple independently organized L&C Cabinetry businesses.
For purposes of these Terms, "L&C Cabinetry," "we," "us," and "our" collectively refer to participating L&C Cabinetry entities represented through the Sites, including:
- L&C Cabinetry VAB LLC – Virginia Beach, Virginia
- L & C Cabinetry RIC, LLC – Richmond/Ashland, Virginia
- L&C Cabinetry CLT LLC – Charlotte, North Carolina
These businesses are separate legal entities. lnccabinetry.com is operated by L&C Cabinetry VAB LLC.
The specific L&C Cabinetry entity identified on your quote, invoice, sales order, order confirmation, account documentation, or other transaction document is the seller and contracting party for that transaction ("Seller").
Nothing on the Sites should be interpreted as making one L&C Cabinetry entity responsible for the contractual obligations, debts, products, services, or liabilities of another L&C Cabinetry entity unless expressly stated in writing.
Additional participating L&C Cabinetry locations or entities may be added to the Sites from time to time.
Sites Covered by These Terms
These Terms apply to:
- lnccabinetry.com — the central online resource for participating L&C Cabinetry locations
- shopclt.lnccabinetry.com — the Charlotte online store
- shopvab.lnccabinetry.com — the Virginia Beach online store
Online purchases, account registration, and checkout take place on our store sites rather than on lnccabinetry.com. Our store sites operate on third-party ecommerce platforms that impose their own terms of use, account terms, and payment terms on visitors and purchasers.
Those platform terms apply in addition to these Terms and govern the operation of the platform itself. These Terms, together with the applicable transaction documents, govern the sale of products and services by the applicable Seller. Where a platform's terms conflict with these Terms as to the substance of a sale by an L&C Cabinetry entity, these Terms and the applicable transaction documents control as between you and the Seller.
Website Use Versus Individual Transactions
These Terms govern use of the Sites generally.
Individual purchases may also be subject to:
- Quotes
- Sales orders
- Invoices
- Account agreements
- Dealer agreements
- Credit terms
- Delivery terms
- Product warranties
- Return policies
- Written project agreements
- Other terms presented at the time of purchase
If a specific written sales agreement, quote, invoice, dealer agreement, or other transaction document conflicts with these general Terms regarding a particular transaction, the more specific transaction document will control for that transaction.
Eligibility and Accounts
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use purchasing, account, dealer, or other transactional features of the Sites.
If you use the Sites or create an account on behalf of a company, contractor, dealer, builder, designer, property owner, or other organization, you represent that you have authority to act on behalf of that organization, and references to "you" include that organization.
You are responsible for:
- Providing accurate information
- Maintaining the confidentiality of account credentials
- Restricting unauthorized access to your account
- Keeping account and contact information current
- All activity occurring through your account or credentials
You must notify us promptly if you believe your account has been accessed without authorization.
We may suspend, restrict, or terminate an account when reasonably necessary to protect L&C Cabinetry, our customers, the Sites, or other users.
Dealer, Trade, and Professional Accounts
L&C Cabinetry primarily serves builders, contractors, remodelers, designers, dealers, property professionals, and other trade customers.
Certain pricing, products, programs, account features, services, or ordering options may be available only to approved trade or dealer accounts.
Approval for a dealer, wholesale, or trade account is at the discretion of the applicable L&C Cabinetry entity.
We may request information reasonably necessary to establish or maintain an account, including:
- Business name
- Contact information
- Business type
- Tax information
- Resale or exemption documentation
- Project information
- Credit information when applicable
- Other information reasonably related to account eligibility
Trade pricing and account privileges are not transferable unless expressly authorized.
Customers claiming a tax exemption or resale exemption are responsible for providing valid and current documentation and for the accuracy of the representations made in connection with that exemption.
Product Information
We make reasonable efforts to provide accurate product descriptions, specifications, images, dimensions, construction details, availability information, and other product information.
However, cabinetry and related products may be subject to manufacturing changes, production tolerances, material variations, specification changes, or supplier updates.
Product photographs and digital renderings are provided for general reference.
Your computer monitor, phone, tablet, display settings, lighting conditions, photography, and other factors can affect the appearance of colors and finishes.
Accordingly, we do not guarantee that colors displayed electronically will precisely match the physical product.
Natural Materials and Product Variations
Wood, stone, and other natural or manufactured materials may have variations in:
- Grain
- Color
- Tone
- Texture
- Pattern
- Mineral markings
- Knots
- Shade
- Finish appearance
Variations may occur between samples, displays, photographs, individual components, production runs, or products purchased at different times.
Reasonable variations inherent in the material or manufacturing process do not constitute a defect.
Customers should review available samples and product specifications when exact appearance is important to a project.
Quotes and Estimates
Quotes, estimates, layouts, and proposals are based on information available to us at the time they are prepared.
Unless expressly stated otherwise in writing:
- A quote is not a guarantee of inventory availability.
- A quote does not reserve inventory.
- Prices may change before an order is accepted and paid.
- Estimated delivery or availability dates are not guaranteed.
- Taxes, delivery charges, assembly charges, special-order charges, and other applicable fees may be additional.
- A quote may be subject to expiration.
A binding sale occurs only when the applicable Seller accepts the order in accordance with its ordering procedures.
Orders and Order Acceptance
Submitting an order does not mean the order has been accepted.
We reserve the right, to the extent permitted by law, to:
- Accept or reject an order
- Request additional information
- Correct errors
- Limit quantities
- Cancel duplicate orders
- Reject suspected fraudulent transactions
- Decline transactions that violate account or dealer requirements
- Cancel an order when inventory is unavailable
- Cancel an order affected by a material pricing or product-information error
If payment has already been collected for an order that we cancel, the applicable amount will be refunded in accordance with our payment and refund procedures.
Measurements, Layouts, Designs, and Project Information
Cabinetry requires accurate field measurements and coordination with walls, floors, ceilings, appliances, plumbing, electrical systems, mechanical systems, countertops, trim, doors, windows, and other project conditions.
Customers are responsible for providing accurate project information.
Unless L&C Cabinetry expressly agrees otherwise in a separate written agreement, the customer and the customer's installer or contractor are responsible for verifying all final:
- Field measurements
- Cabinet dimensions
- Appliance dimensions
- Door swings
- Clearances
- Fillers
- Panels
- Moldings
- Plumbing locations
- Electrical locations
- Ceiling heights
- Wall conditions
- Floor conditions
- Installation requirements
- Building-code requirements
- Jobsite conditions
before ordering and before installation.
Design Assistance
Any drawings, layouts, renderings, plans, cabinet placements, product suggestions, or design assistance provided by L&C Cabinetry are intended to assist with product selection and project planning.
Unless expressly agreed otherwise in writing, these materials are not architectural, engineering, structural, electrical, plumbing, mechanical, or other licensed professional plans.
Customers remain responsible for having final plans, dimensions, structural conditions, code compliance, and installation requirements reviewed by the appropriate contractor or qualified professional.
The customer is responsible for reviewing and approving final layouts, cabinet sizes, quantities, finishes, and configurations before an order is placed.
Customer Approval
By approving a quote, design, layout, sales order, or product list, the customer represents that the customer has reviewed the applicable:
- Product styles
- Colors and finishes
- Dimensions
- Quantities
- Cabinet configurations
- Accessories
- Panels and fillers
- Delivery or pickup information
- Other order details
Customers should notify the applicable L&C Cabinetry location of errors before the order is processed.
Changes requested after an order has been processed, assembled, shipped, transferred, or prepared for pickup may be subject to additional fees, restocking charges, supplier restrictions, or other limitations.
Pricing
Prices are subject to change without notice unless otherwise stated in a written quote, contract, or accepted sales order.
Prices displayed on the Sites may differ from:
- Dealer pricing
- Trade pricing
- Location-specific pricing
- Promotional pricing
- Contract pricing
- Volume pricing
- Previously quoted pricing
The applicable price for a transaction is the price accepted by the Seller in the final transaction documentation.
We reserve the right to correct typographical, clerical, system, or pricing errors.
If a material pricing error is discovered after an order is submitted, we may contact the customer to offer the corrected price or cancel and refund the affected order as permitted by law.
Taxes and Fees
Customers are responsible for applicable:
- Sales taxes
- Use taxes
- Delivery charges
- Shipping charges
- Assembly charges
- Special-order fees
- Restocking fees
- Processing fees
- Other charges disclosed in connection with the transaction
Tax-exempt customers must provide valid exemption documentation acceptable to the applicable Seller.
If a claimed exemption is later determined to be invalid, the customer remains responsible for taxes, penalties, or other amounts that applicable law permits us to collect from the customer.
Payment
Payment terms depend on the applicable L&C Cabinetry entity, customer account, and transaction.
Unless written credit terms have been approved, payment may be required before products are released, shipped, assembled, transferred, or delivered.
You represent that you are authorized to use any payment method submitted for a transaction.
If a payment is reversed, rejected, disputed, or otherwise not completed, we may suspend fulfillment and pursue amounts properly owed to the extent permitted by law.
Customers with approved commercial credit terms remain subject to the applicable credit agreement, invoice terms, and other account requirements.
Inventory and Availability
Inventory information is subject to change.
Products shown on the Sites, in a catalog, in a showroom, or on a quote may become:
- Out of stock
- Backordered
- Discontinued
- Temporarily unavailable
- Replaced by an updated model or specification
We do not guarantee availability until an order has been accepted and inventory has been allocated or otherwise confirmed by the applicable Seller.
Products may also have different availability at different L&C Cabinetry locations.
Special Orders and Discontinued Products
Special-order, custom, modified, discontinued, clearance, or non-stock products may be subject to separate terms.
Such products may have:
- Longer lead times
- Different cancellation rules
- Reduced or unavailable return rights
- Manufacturer restrictions
- Additional deposits or payment requirements
Applicable restrictions should be confirmed before placing the order.
Pickup and Delivery
Customers are responsible for reviewing pickup and delivery information associated with their order.
Delivery dates and times are estimates unless expressly guaranteed in writing.
Delays may occur because of circumstances including:
- Manufacturer delays
- Supplier delays
- Transportation delays
- Weather
- Inventory shortages
- Labor shortages
- Equipment issues
- Road conditions
- Events outside our reasonable control
Customers should not schedule installers, demolition, construction crews, countertop templating, or other time-sensitive work solely on the basis of an estimated product arrival date.
Customer Pickup
Customers or their representatives should inspect quantities and visible product condition at pickup whenever reasonably possible.
A person picking up an order on behalf of a customer is presumed to be authorized to receive that order.
Customers are responsible for using appropriate vehicles, restraints, protective materials, and loading practices after products are released to them.
Delivery
The customer is responsible for providing accurate delivery information and reasonable access to the delivery location.
Additional charges may apply for circumstances outside the agreed delivery service.
If third-party delivery providers are used, additional terms or limitations may apply.
Inspection of Products
Customers should inspect products promptly after pickup or delivery.
Any damage, shortage, incorrect item, or other apparent issue should be reported as required by the applicable Return Policy.
Products should not be installed, drilled, modified, painted, cut, or otherwise altered before an apparent damage or incorrect-item claim is resolved.
Installing or modifying a product may affect eligibility for return, replacement, exchange, or credit.
Returns, Exchanges, Damage Claims, and Cancellations
Returns, exchanges, damaged products, incorrect products, and order cancellations are governed by the L&C Cabinetry Return Policy in effect for the applicable transaction, available at https://www.lnccabinetry.com/return-policy.
The Return Policy is incorporated into these Terms by reference.
The current policy may include:
- Time limits for reporting eligible damage or incorrect items
- Product-condition requirements
- Photographic documentation requirements
- Restrictions relating to installed or modified products
- Restocking fees
- Customer responsibilities for returning products
- Rules concerning delivery and pickup
Customers should review the Return Policy before ordering.
If a location-specific written order document contains return or cancellation terms that differ from the published Return Policy, the terms associated with the particular transaction control to the extent of the conflict.
If no published Return Policy or transaction-specific return terms apply to a particular sale, returns and cancellations are at the discretion of the applicable Seller, subject to any rights you have under applicable law.
Nothing in these Terms limits rights that cannot lawfully be waived under applicable law.
Installation
Unless installation is expressly included in a written agreement with the applicable Seller, the sale of cabinetry or other products does not include installation.
L&C Cabinetry is not responsible for work performed by independent contractors, installers, builders, designers, tradespeople, delivery providers, or other third parties merely because the third party purchased, recommended, transported, or installed L&C Cabinetry products.
Customers and installers are responsible for determining whether products are suitable for the project and for installing products safely and in accordance with:
- Manufacturer instructions
- Applicable building codes
- Industry practices
- Jobsite conditions
- Applicable laws and regulations
Damage caused by improper handling, modification, storage, installation, misuse, jobsite conditions, or third-party work does not qualify as a product defect.
Product Warranties and Disclaimer of Implied Warranties
Certain products may be covered by warranties issued by the manufacturer or supplier.
The availability, scope, duration, exclusions, remedies, and procedures associated with a warranty depend on the applicable product and warranty terms.
Manufacturer warranties are separate from these Terms.
Unless expressly provided in writing by the applicable Seller, L&C Cabinetry does not expand or modify a manufacturer's warranty, and L&C Cabinetry makes no warranty of its own regarding the products it sells.
Customers should retain invoices and other purchase documentation that may be necessary for warranty claims.
Disclaimer
EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY PROVIDED BY THE APPLICABLE SELLER, AND EXCEPT FOR WARRANTIES ISSUED BY A MANUFACTURER OR SUPPLIER, ALL PRODUCTS ARE SOLD "AS IS" AND L&C CABINETRY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
This disclaimer does not apply to the extent it is prohibited by applicable law, and it does not affect any manufacturer or supplier warranty, any express written warranty provided by the applicable Seller, or any rights that cannot lawfully be disclaimed. Some states do not allow the exclusion of implied warranties, so this disclaimer may not apply to you in full.
Site Information and Errors
We make reasonable efforts to maintain accurate information on the Sites.
However, the Sites may occasionally contain:
- Typographical errors
- Pricing errors
- Outdated information
- Incorrect availability information
- Technical errors
- Product-description errors
- Image or specification discrepancies
We may correct errors and update content without prior notice.
We may also correct an error affecting a pending transaction and, where appropriate, provide the customer with an opportunity to proceed under the corrected information or cancel the affected transaction.
Intellectual Property
The Sites and their content, including text, product descriptions, photographs, graphics, logos, layouts, catalogs, designs, videos, downloadable materials, software, and other content, are owned by or licensed to L&C Cabinetry or the applicable rights holder and are protected by intellectual property laws.
You may use the Sites for legitimate personal or business purposes associated with evaluating or purchasing L&C Cabinetry products and services.
Unless expressly authorized, you may not:
- Copy or reproduce substantial content from the Sites
- Republish content from the Sites
- Sell or commercially exploit content from the Sites
- Remove copyright or proprietary notices
- Use L&C Cabinetry trademarks in a misleading manner
- Imply sponsorship or endorsement that does not exist
- Use content from the Sites to create a competing catalog, database, website, or commercial service
- Use content from the Sites to train, fine-tune, or develop a machine learning or artificial intelligence model
User Submissions and Feedback
If you provide feedback, reviews, suggestions, photographs, project images, testimonials, or other content to L&C Cabinetry ("Submissions"), you represent that you have the right to provide that material and that it does not infringe the rights of any other person.
You may not submit content that:
- Infringes another person's rights
- Is knowingly false or misleading
- Contains malicious software
- Is unlawful
- Violates another person's privacy
- Is defamatory or fraudulent
License to Use Submissions
By providing a Submission, you grant L&C Cabinetry a non-exclusive, royalty-free, worldwide, perpetual, and sublicensable license to use, reproduce, adapt, crop, edit, publish, and display that Submission in connection with our marketing, advertising, social media, websites, showrooms, catalogs, and promotional materials, together with your first name and general location where you have provided them.
We will obtain separate written permission before using a Submission in which an individual is personally identifiable, and before using a Submission in a manner that suggests a personal endorsement by a named individual.
You may ask us to discontinue prospective use of a Submission by contacting us using the information in these Terms. We will make reasonable efforts to honor that request going forward, though we may be unable to withdraw materials already printed, distributed, or placed with an advertising platform.
Feedback
Unless otherwise agreed, providing general suggestions or feedback does not create an obligation for us to compensate you or treat the suggestion as confidential.
Copyright Complaints
If you believe content on the Sites infringes your copyright, please send a notice to our designated agent containing the information required by the Digital Millennium Copyright Act, including identification of the copyrighted work, identification of the material you believe is infringing and its location, your contact information, a statement of good-faith belief that the use is not authorized, a statement that the information in the notice is accurate, and your physical or electronic signature.

Prohibited Uses

- To impersonate another person or entity
- To distribute malware or harmful code
- To interfere with security
- To attempt unauthorized access to accounts or systems
- To scrape, crawl, harvest, or systematically extract information in a manner that interferes with the Sites or violates applicable law
- To send spam or abusive communications
- To conduct fraudulent transactions
- To misuse dealer or account credentials
We may restrict access to the Sites for violations of these Terms.
Third-Party Services and Links
The Sites may contain links to or integrations with third-party websites, tools, maps, payment providers, ecommerce platforms, social networks, advertising platforms, software, or other services.
Third-party services are governed by their own terms and privacy practices.
We do not control and are not responsible for third-party websites or services merely because the Sites link to or interact with them.
Privacy
Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
The Sites use analytics, advertising, and marketing technologies as described in the Privacy Policy. The Privacy Policy also describes the privacy choices available to you, including the "Your Privacy Choices" link and our recognition of the Global Privacy Control signal.
By using the Sites, you acknowledge that information may be processed as described in the Privacy Policy, subject to your applicable privacy rights and choices.
Electronic Communications and Consent to Electronic Records
When you communicate with us electronically, submit forms, create an account, request a quote, or conduct a transaction electronically, you consent to receive communications and records related to that interaction electronically where permitted by law.
Electronic communications may include:
- Quotes
- Order confirmations
- Invoices
- Account communications
- Delivery or pickup information
- Customer service communications
- Legal notices
- Other transaction-related communications
What You Need to Receive Electronic Records
To access and retain electronic records, you need a device with internet access, a current web browser, a valid email address, and the ability to view and save PDF files. Records are sent to the email address associated with your inquiry, account, or transaction, so you are responsible for keeping that address current.
Withdrawing Consent and Requesting Paper Copies
You may withdraw your consent to receive records electronically, or request a paper copy of a record, at no charge by contacting us using the information in these Terms. Withdrawing consent may delay or prevent completion of a transaction that requires electronic delivery, and it does not affect the validity of records already provided electronically.
Marketing communications are subject to applicable law and available opt-out rights.
Force Majeure and Events Beyond Our Control
To the extent permitted by law, L&C Cabinetry will not be responsible for delays or failures caused by events beyond our reasonable control, including:
- Natural disasters
- Severe weather
- Fire
- Flood
- Government actions
- Labor disruptions
- Transportation interruptions
- Supplier or manufacturer disruptions
- Port or freight delays
- Utility failures
- Internet or telecommunications outages
- Cybersecurity incidents outside our reasonable control
- Epidemics or public-health emergencies
- Material shortages
- Other similar events
This provision does not excuse payment obligations for products or services already properly provided.
Disclaimer of Website Warranties
To the fullest extent permitted by applicable law, the Sites and their content are provided on an "as is" and "as available" basis.
We do not guarantee that:
- The Sites will always be available
- The Sites will be uninterrupted or error-free
- Every error will be corrected immediately
- Information will always be complete or current
- The Sites will be free of all harmful components
This disclaimer applies to the Sites and digital services. Product warranties and their disclaimers are addressed in Section 21.
Limitation of Liability
To the fullest extent permitted by applicable law:
Exclusion of Indirect and Consequential Damages
L&C Cabinetry and the participating entities, and their members, managers, officers, employees, agents, and service providers, will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or relating to the Sites, the products or services sold, or any transaction, delay, cancellation, defect, shortage, or other issue.
This exclusion applies regardless of the legal theory asserted, including contract, warranty, negligence, or strict liability, and applies even if we have been advised of the possibility of such damages.
Excluded damages include, without limitation:
- Loss of profits, revenue, or business opportunity
- Loss of use
- Loss of data
- Project or construction delay costs
- Contractor, installer, or subcontractor standby, rescheduling, or remobilization costs
- Countertop templating, fabrication, or re-templating costs
- Costs of removing or reinstalling products
- Liquidated damages or penalties owed by you to a third party
- Rental, storage, lodging, or temporary housing costs
- Damage to other property or finishes arising from installation or use
Cap on Direct Damages
The total aggregate liability of L&C Cabinetry and the applicable Seller for all claims arising from or relating to a particular transaction will not exceed the amount actually paid to the Seller for the specific product or service giving rise to the claim.
For claims arising from use of the Sites that are unrelated to a purchase, total aggregate liability will not exceed one hundred dollars ($100).
Exceptions
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, willful misconduct, or personal injury or death caused by our negligence where such limitation is prohibited.
Some states do not allow the exclusion or limitation of incidental or consequential damages, so parts of this section may not apply to you.
Liability relating to a particular product, sale, delivery, service, or transaction may also be governed by the applicable invoice, sales agreement, product warranty, dealer agreement, or other transaction-specific terms.
Indemnification
To the extent permitted by law, if you use the Sites on behalf of a business or in connection with commercial or trade activities, you agree to indemnify and hold harmless the applicable L&C Cabinetry entity from third-party claims, damages, losses, and reasonable attorneys' fees arising from:
- Your material breach of these Terms
- Your unlawful use of the Sites
- Your infringement of another person's rights
- False information you knowingly provide
- Your unauthorized use of another person's account or information
- Submissions you provide to us
This provision does not require a consumer to indemnify L&C Cabinetry where such an obligation would be prohibited by applicable law.
Governing Law
Because the Sites represent separate L&C Cabinetry entities located in different states, the law governing a product sale or other transaction may depend on the Seller identified in the applicable transaction documentation.
Unless another written agreement states otherwise and subject to any non-waivable rights under applicable law:
- Transactions with L&C Cabinetry VAB LLC or L & C Cabinetry RIC, LLC are governed by applicable Virginia law.
- Transactions with L&C Cabinetry CLT LLC are governed by applicable North Carolina law.
- Use of lnccabinetry.com that is not connected to a transaction is governed by applicable Virginia law.
In each case, the governing law applies without regard to conflict-of-laws principles.
For disputes relating to a specific sale or account, the applicable Seller's transaction documents may contain additional governing-law or dispute provisions.
Nothing in these Terms deprives a consumer of protections that cannot legally be waived.
Dispute Resolution, Venue, and Time to Bring a Claim
Informal Resolution First
Before filing a claim, you agree to contact the applicable L&C Cabinetry entity and give us a reasonable opportunity, and at least thirty (30) days, to resolve the matter informally. Most issues can be resolved this way.
Venue
Unless the applicable transaction documents provide otherwise, and subject to any non-waivable rights under applicable law:
- Claims involving L&C Cabinetry VAB LLC must be brought exclusively in the state or federal courts located in or serving the City of Virginia Beach, Virginia.
- Claims involving L & C Cabinetry RIC, LLC must be brought exclusively in the state or federal courts located in or serving Hanover County, Virginia.
- Claims involving L&C Cabinetry CLT LLC must be brought exclusively in the state or federal courts located in or serving Mecklenburg County, North Carolina.
You and we consent to the personal jurisdiction of those courts.
Time to Bring a Claim
To the extent permitted by applicable law, any claim arising from or relating to the Sites or a transaction must be brought within one (1) year after the claim arises, or it is permanently barred. This limitation does not apply where a shorter or longer period is required by applicable law, and it does not apply to claims that cannot lawfully be shortened.
Separate Legal Entities
The participating L&C Cabinetry companies maintain separate legal identities.
A contract with one participating entity does not, solely by virtue of the shared L&C Cabinetry name or the Sites, create contractual liability for another participating entity.
Claims relating to a specific purchase, delivery, account, quote, refund, product, or service should be directed to the L&C Cabinetry entity identified as Seller for that transaction.
Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as appropriate.
The remaining provisions will remain in effect.
Waiver
A failure by L&C Cabinetry to enforce a provision of these Terms does not waive our right to enforce that provision or another provision later.
Entire Agreement and Order of Precedence
These Terms, together with the Privacy Policy, Return Policy, and any applicable written transaction documents, constitute the agreement governing use of the Sites and applicable transactions.
For a particular sale, the following order generally applies when documents contain conflicting transaction-specific terms:
- A separately executed written agreement applicable to the transaction
- The applicable accepted sales order, invoice, dealer agreement, or written quote
- The applicable Return Policy or product warranty for the issue addressed by that policy or warranty
- These Terms of Service
This provision does not override rights or obligations imposed by applicable law.
Changes to These Terms
We may update these Terms periodically to reflect changes in our:
- Sites
- Locations
- Products
- Services
- Business practices
- Technology
- Legal requirements
When we update these Terms, we will post the revised Terms and update the "Last Updated" date. For material changes, we will provide additional notice where required by applicable law, which may include posting a notice on the Sites or sending an email to account holders.
Your continued use of the Sites after a revised version is posted constitutes acceptance of the revised Terms. Changes apply prospectively and do not alter the terms applicable to an order already accepted.
